Terms of Service

By accessing or using the TransFlect website (transflect.com) or by submitting your information to our waitlist, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use our website or services.

These Terms constitute a legally binding agreement between you and TransFlect.

TransFlect is an AI-powered platform designed to facilitate introductions between early-stage startups and investors. Our proprietary matching engine evaluates investor criteria against startup profiles to surface potentially relevant connections.

Pre-MVP status: TransFlect is currently in pre-launch. At this stage, we are only collecting waitlist registrations. No matchmaking, deal facilitation, or investor-founder introductions are currently available. Joining the waitlist does not guarantee access to the platform or any specific service level, and does not create any contractual obligation on either party.

The platform, when launched, will provide a technology layer to introduce investors and founders who may be compatible based on stated criteria. TransFlect does not provide investment advice, execute transactions, or act as an intermediary in any securities offering.

To use the TransFlect website and join our waitlist, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding agreements.
• Not be prohibited from using our services under applicable law.

When the TransFlect platform launches, certain features may be restricted to accredited investors (or the equivalent under applicable securities laws in your jurisdiction). It is your responsibility to determine whether you qualify for such access. TransFlect does not verify accredited investor status and makes no representation as to any user's qualification.

You agree not to use the TransFlect website or any future service to:

• Violate any applicable local, national, or international law or regulation.
• Submit false, misleading, or fraudulent information.
• Impersonate any person or entity.
• Engage in any activity that constitutes an offer or solicitation of securities without proper registration or exemption.
• Harvest, scrape, or collect data from our website by automated means without prior written consent.
• Transmit unsolicited communications, spam, or bulk messages.
• Attempt to gain unauthorised access to any part of our systems or infrastructure.
• Interfere with or disrupt the integrity or performance of the website.
• Engage in any conduct that could damage, disable, or impair our services.

All content on the TransFlect website — including but not limited to text, graphics, logos, animations, user interface design, and software — is the property of TransFlect or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and view the website for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written consent.

Personal data you submit (email address, role) remains yours. By submitting it, you grant TransFlect a limited licence to use it solely for the purposes described in our Privacy Policy.

By using this website and joining our waitlist, you acknowledge that your personal data will be processed in accordance with our Privacy Policy, which forms part of these Terms and is incorporated by reference.

Our Privacy Policy describes the categories of data we collect, our legal bases for processing under the General Data Protection Regulation (GDPR), your rights as a data subject, and how to exercise them.

California residents have additional rights under the CCPA/CPRA, summarised in our Do Not Sell or Share My Personal Information notice.

TransFlect is currently in pre-launch. The platform does not facilitate, broker, or execute any securities transactions, and no investor-founder introductions are taking place during this period.

Access to investor-matching features, when launched, may be restricted to non-US persons or to US persons who qualify as accredited investors under Rule 501 of Regulation D. TransFlect reserves the right to restrict access to any jurisdiction at its sole discretion.

Nothing on this platform constitutes a general solicitation or advertisement of securities under Rule 506(c) of Regulation D.

Notice to California residents

California residents have additional rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA). Please refer to our Privacy Policy for details.

California's Automatic Renewal Law (ARL) does not currently apply to TransFlect, as the service is offered free of charge during the waitlist and beta period. Future paid tiers will be governed by additional terms that address ARL requirements.

Nothing on this website constitutes financial, legal, or investment advice. You should seek independent professional advice before making any investment decisions. This disclaimer applies in addition to the jurisdiction-specific notices in Section 7.

THE TRANSFLECT WEBSITE AND ANY SERVICES PROVIDED ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.

We do not warrant that: (a) the website will be uninterrupted, error-free, or free of viruses; (b) the results obtained from using the website will be accurate or reliable; or (c) any defects in the website will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRANSFLECT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE, EVEN IF TRANSFLECT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL TRANSFLECT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT, IF ANY, THAT YOU HAVE PAID TO TRANSFLECT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. AS THE WEBSITE IS CURRENTLY FREE TO ACCESS, THIS LIMIT IS ZERO IN MOST CASES.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential or incidental damages. In such jurisdictions, TransFlect's liability is limited to the greatest extent permitted by law.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer located in the European Union, you may also benefit from any mandatory provisions of the law of your country of residence. Nothing in this section deprives EU consumers of the protections afforded by such mandatory provisions.

EU Online Dispute Resolution

If you are a consumer residing in the European Union, you may also use the European Commission's Online Dispute Resolution (ODR) platform to resolve disputes online: ec.europa.eu/consumers/odr.

The governing law and jurisdiction clause in Section 11 does not deprive EU consumers of the protections afforded by mandatory provisions of the law of their country of residence.

TransFlect reserves the right, at its sole discretion, to suspend or permanently remove any user from the waitlist or any future service, with or without notice, for any reason, including but not limited to violation of these Terms.

You may remove yourself from the waitlist at any time by contacting us at hello@transflect.com. Upon removal, your personal data will be deleted in accordance with our Privacy Policy.

We may modify these Terms from time to time. Any changes will be posted to this page with an updated “Last updated” date.

Material changes

For material changes, TransFlect will notify waitlist members by email at least 14 days before the change takes effect. You will be required to provide fresh consent (re-confirm acceptance) before continuing to use the platform after a material change.

Non-material changes

For non-material changes (for example, typo corrections, clarifications, or formatting updates), continued use of the website after the change constitutes acceptance of the updated Terms.

What counts as a material change

A “material change” is any change that affects: (a) user rights or obligations; (b) how we collect, use, or share personal data; (c) limitation of liability or disclaimers of warranty; or (d) the nature or scope of the service.
